Adsministor is a global digital marketing agency offering social media management, paid advertising, video ads, personal and business branding, and marketing consultation services.

By accessing our website or engaging our services, you agree to these Terms and Conditions. If you don't agree, please don't use our website or services.

Adsministor provides digital marketing services as outlined on our website and in individual service agreements or proposals shared with clients.

What this means in practice:

• The specific scope, deliverables, timelines, and fees for each engagement are agreed upon in writing before work begins

• Services may vary between clients depending on their individual needs and agreed packages

• We reserve the right to update, modify, or discontinue any service offering at any time, with reasonable notice to existing clients

All engagements begin with a consultation. Work officially starts once both parties have agreed on the scope of services, fees, and timelines — confirmed in writing via a proposal, agreement, or email confirmation.

To do our best work for you, we need your cooperation. You agree to:

• Provide accurate and complete information about your business when requested

• Give timely feedback and approvals so we can meet agreed deadlines

• Supply any necessary access (social media accounts, ad accounts, brand assets, etc.) promptly

• Ensure any content or materials you provide to us do not infringe on any third-party rights

Delays caused by late approvals, missing information, or inaccessible accounts are not the responsibility of Adsministor.

• All fees are outlined in your individual proposal or service agreement

• Payment terms are agreed upon before work begins and confirmed in writing

• Invoices are due by the date specified — late payments may result in paused services

• All fees are exclusive of applicable taxes unless otherwise stated

• We reserve the right to update our pricing with reasonable notice — existing agreements will not be affected mid-term

Due to the nature of digital marketing services, refunds are assessed on a case-by-case basis. If you have a concern about the service you've received, contact us directly — we'd rather resolve it than have an unhappy client.

What we create for you:

Upon receipt of full payment, creative assets produced specifically for your business (ad copy, content, brand materials, etc.) become your property. Strategy documents, frameworks, and internal processes developed by Adsministor remain our intellectual property.

What you provide to us:

You confirm that any materials, logos, images, or content you provide to us are either owned by you or that you have the right to use them. You are responsible for ensuring we have the necessary permissions to use any third-party content in your marketing.

Our website content:

All content on the Adsministor website — including text, graphics, and branding — is owned by Adsministor and may not be copied, reproduced, or used without our written permission.

Both parties agree to keep each other's confidential information private. This means:

• We will not share your business information, strategies, or data with third parties without your consent

• We ask that you do not share our internal processes, proposals, or pricing with third parties

• This obligation continues after our working relationship ends

We may reference your business name and general project type in our portfolio or marketing materials unless you specifically request otherwise in writing.

Digital marketing involves inherent uncertainty. While we work hard to deliver strong results, we cannot guarantee specific outcomes such as a defined number of leads, sales, follower counts, or revenue figures.

What we do guarantee:

• We will apply our full expertise and effort to every engagement

• We will be transparent about what is and isn't working

• We will adapt our approach based on real data and honest assessment

• We will never make promises we don't believe we can keep

Any projections or estimates we share are based on experience and available data — not guaranteed results.

To the maximum extent permitted by law, Adsministor shall not be liable for:

• Indirect, incidental, or consequential losses arising from the use of our services

• Loss of revenue, profit, or business opportunities

• Actions taken by third-party platforms (Meta, Google, TikTok, LinkedIn, etc.) including policy changes, account suspensions, or algorithm updates beyond our control

Our total liability in any situation shall not exceed the total fees paid by you in the three months prior to the claim.

Our services often involve working within third-party platforms such as Meta Business Suite, Google Ads, LinkedIn, TikTok, and others. These platforms have their own terms of service, which you are responsible for understanding and complying with.

Adsministor is not responsible for:

• Changes to third-party platform policies that affect campaign performance

• Account suspensions or restrictions imposed by third-party platforms

• Downtime or technical issues on third-party platforms

By you:

You may terminate our engagement at any time with written notice, in accordance with the terms of your individual service agreement. Fees for work already completed or in progress at the time of termination are non-refundable.

By us:

We reserve the right to terminate or suspend services with reasonable notice if:

• Payment obligations are not met

• You engage in conduct that is unlawful, abusive, or damaging to our team or reputation

• Continuing the engagement becomes impossible due to circumstances beyond our control

• Upon termination, we will deliver any completed work and provide a reasonable transition period where applicable.

These terms are governed by the laws of [Your Country/Jurisdiction]. Any disputes arising from these terms or our services will be subject to the exclusive jurisdiction of the courts of Sri Lanka.

If you are based in a different country, we will make reasonable efforts to resolve disputes amicably before any formal legal process is initiated.

We may update these Terms and Conditions from time to time. When we do, the "Last Updated" date at the top of this page will reflect that change. Continued use of our website or services after changes are posted constitutes your acceptance of the updated terms.

For significant changes, we will make reasonable efforts to notify active clients directly.
